When you join The Studio by Liz Kohler Brown Affiliate Program, you agree to the following terms.

Affiliate Agreement

Liz Kohler Brown LLC ("Liz Kohler Brown," "We," "Our," and "Us") offers an affiliate program designed to allow You to become a Studio by Liz Kohler Brown Affiliate ("Affiliate," "You," and "Your(s)"). Affiliates of Liz Kohler Brown LLC can earn revenue for sales of our products and services referred through affiliate campaigns. Liz Kohler Brown LLC reserves the exclusive right to determine the amount of remuneration an Affiliate will receive in exchange for referrals.  Affiliates will be notified by email if any changes to commissions occur.

BY REGISTERING AS AN AFFILIATE, YOU ARE AGREEING TO THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE, YOU MAY NOT PARTICIPATE IN THE AFFILIATE PROGRAM.

This Affiliate Agreement ("Agreement") governs Your relationship as an Affiliate of The Studio by Liz Kohler Brown Affiliate Program. By creating an account and signing up for this program, You acknowledge You have read, understood, and agreed to these terms.

SECTION 1 - PARTIES
All references to Liz Kohler Brown LLC herein also refer to www.thestudiomembership.com. References to "You" and "Your" refer to the person or entity executing this Agreement. You agree to notify us in writing at help@lizkohlerbrown.com within twenty-four (24) hours of any changes to your legal business name or account ownership.

SECTION 2 – APPLICATION
You affirm that all information provided in Your Affiliate application is truthful and accurate. We reserve the right to approve or reject any application in our sole discretion.

SECTION 3 - CONSENT TO BE CONTACTED
You consent to be contacted at the email provided in Your application about Your application and the Affiliate Program.

SECTION 4 - COMPENSATION
Compensation terms (e.g., commission percentage, cookie duration, payout timing) are stated on each campaign page. These may vary by campaign. If any referral is found to be fraudulent or in violation of this Agreement, Liz Kohler Brown LLC may withhold or reverse commissions and terminate this Agreement.

Affiliates may use paid advertising. However, You may not:

• Make false claims or promises (e.g., representing Liz Kohler Brown as offering guarantees).

• Use unauthorized marketing materials or impersonate Liz Kohler Brown or The Studio brand.

Affiliates are responsible for all taxes, fees, and charges related to their compensation.

SECTION 5 - TERM AND TERMINATION
This Agreement remains in effect month-to-month until terminated by either party. We may terminate or suspend Your participation at any time, without notice, for any reason, including suspicion of fraud or breach of this Agreement. Upon termination, all pending commissions may be forfeited at our discretion.

SECTION 6 - REPRESENTATIONS AND WARRANTIES
You warrant that there are no ongoing legal investigations or lawsuits against You related to deceptive marketing or consumer protection violations. You must notify us within 24 hours if such an issue arises.

SECTION 7 - ENTIRE AGREEMENT
This Agreement, along with any applicable Terms of Use on thestudiomembership.com, represents the full agreement between the parties.

SECTION 8 - CONFIDENTIALITY
Any confidential information shared with You must be protected and not disclosed without written consent. This obligation survives the termination of this Agreement.

APPENDIX A – ADVERTISING RULES

• You must comply with all relevant advertising and data protection laws, including FTC guidelines.

• Required Disclosure: On any website page or social media post where you promote The Studio, you must clearly state that you are an affiliate of The Studio by Liz Kohler Brown

• Do not make earnings claims or guarantees.

COMPLAINTS
Any complaints or concerns related to Your promotion must be reported to help@lizkohlerbrown.com within 24 hours.

INDEPENDENT CONTRACTOR STATUS
You are not an employee of Liz Kohler Brown LLC. You are an independent contractor responsible for your own business and compliance.

NO GUARANTEE OF EARNINGS
We make no guarantees about your income. You are responsible for generating your own referrals.

SELF-REFERRAL POLICY

Affiliates are strictly prohibited from earning commissions on purchases made through their own affiliate links. This includes, but is not limited to, signing up for a membership, purchasing products, or subscribing to services via their own referral link, email address, or billing credentials.   Any commissions generated through such self-referrals will be deemed invalid and may result in forfeiture of the commission, removal from the program, or both. We reserve the right to determine what constitutes a self-referral at our sole discretion.

REFUNDS AND CHARGEBACKS

If a referred customer’s payment is refunded, disputed, or otherwise reversed for any reason, the affiliate commission associated with that transaction will be voided. If a commission has already been paid for a refunded or charged-back purchase, the amount may be deducted from future payments.  Affiliates are encouraged to refer only genuinely interested customers to reduce the likelihood of refunds or disputes.

COOKIE DURATION AND ATTRIBUTION

Unless otherwise stated in an individual campaign, affiliate cookies will be valid for 60 days from the time of the referral click. Attribution is based on a first-click model, meaning the first affiliate link clicked by the customer before purchase will receive the commission.  If multiple affiliates refer the same user within the cookie window, only the first affiliate will earn the commission.

PROMOTIONAL RESTRICTIONS

Affiliates are expected to promote The Studio by Liz Kohler Brown in a way that is honest, transparent, and respectful of our brand. The following practices are strictly prohibited:

• Misrepresenting the program, our services, or your relationship with us.

• Making false claims, guarantees, or unrealistic income promises.

• Bidding on branded search terms (e.g., “The Studio Membership,” “Liz Kohler Brown”) in paid ads without prior written approval.

• Using spam, bots, or mass unsolicited email marketing.

• Posting affiliate links on coupon aggregator sites, discount forums, or sites primarily offering incentives unless explicitly approved by us.

Affiliates of these promotional standards may result in removal from the program and forfeiture of unpaid commissions.

GEOGRAPHIC ELIGIBILITY

The Studio Affiliate Program is currently open to affiliates worldwide, with no geographic restrictions. However, we reserve the right to restrict or terminate participation in certain regions or jurisdictions as necessary to comply with local laws, regulations, or tax requirements.

LIMITATION OF LIABILITY
We are not liable for indirect, special, or incidental damages. Our maximum liability to You shall not exceed the commissions earned in the prior month.

DISPUTE RESOLUTION
This Agreement shall be governed by the laws of North Carolina, United States. Any disputes shall be subject to binding arbitration per the rules of the American Arbitration Association.

INDEMNITY
You agree to indemnify and hold harmless Liz Kohler Brown LLC and its affiliates from any claims or damages resulting from Your actions under this Agreement.

SEVERABILITY
If any part of this Agreement is found to be unenforceable, the remaining provisions shall remain in effect.

MODIFICATIONS
We may modify this Agreement at any time by posting changes or emailing You. Your continued participation indicates acceptance.
