Affiliate Agreement

Liz Kohler Brown LLC (“Liz Kohler Brown,” “We,” “Our,” and “Us”) offers an affiliate program designed to allow You to become a Studio by Liz Kohler Brown Affiliate (“Affiliate,” “You,” and “Your(s)”). Affiliates of Liz Kohler Brown LLC can earn revenue for sales of our products and services referred through affiliate campaigns. Liz Kohler Brown LLC reserves the exclusive right to determine the amount of remuneration an Affiliate will receive in exchange for referrals.  Affiliates will be notified by email if any changes to commissions occur.

BY REGISTERING AS AN AFFILIATE, YOU ARE AGREEING TO THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE, YOU MAY NOT PARTICIPATE IN THE AFFILIATE PROGRAM.

This Affiliate Agreement (“Agreement”) governs Your relationship as an Affiliate of The Studio by Liz Kohler Brown Affiliate Program. By creating an account and signing up for this program, You acknowledge You have read, understood, and agreed to these terms.

SECTION 1 – PARTIES
All references to Liz Kohler Brown LLC herein also refer to www.thestudiomembership.com. References to “You” and “Your” refer to the person or entity executing this Agreement. You agree to notify us in writing at help@lizkohlerbrown.com within twenty-four (24) hours of any changes to your legal business name or account ownership.

SECTION 2 – APPLICATION
You affirm that all information provided in Your Affiliate application is truthful and accurate. We reserve the right to approve or reject any application in our sole discretion.

SECTION 3 – CONSENT TO BE CONTACTED
You consent to be contacted at the email provided in Your application about Your application and the Affiliate Program.

SECTION 4 – COMPENSATION
Affiliates earn a flat one-time commission for each new paying member they refer: $25 for a new Monthly member and $100 for a new Annual Collective member. Commission is paid once per referred person for the lifetime of their membership. If a referred member cancels and rejoins at any future date, no additional commission is earned.  If any referral is found to be fraudulent or in violation of this Agreement, Liz Kohler Brown LLC may withhold or reverse commissions and terminate this Agreement.

PAYMENT TIMELINE
Commissions are paid on the 1st weekday of each month via PayPal for conversions verified from the prior month. If PayPal isn’t an option for you, please reach out to us at help@thestudiomembership.com to discuss alternatives.

A 30-day hold is applied to all new conversions to allow for refunds and cancellations. There is no minimum payout threshold. All earned commissions are paid in full each month regardless of amount. Inactive accounts with unpaid balances for more than 6 months may be closed at our discretion.

AFFILIATE BONUSES
Liz Kohler Brown LLC may offer performance-based bonuses to affiliates as communicated via email or the affiliate hub. Hub. All bonus payments will be issued one (1) month after the bonus threshold is met, to account for any refunds, cancellations, or chargebacks. 

TAX REPORTING
U.S.-based affiliates earning $600 USD or more in a calendar year will receive a 1099 form, issued automatically via PayPal using the information provided in your account. It is your responsibility to ensure that your PayPal account details are accurate and up to date for tax reporting purposes.

Affiliates may use paid advertising. However, You may not:

• Make false claims or promises (e.g., representing Liz Kohler Brown as offering guarantees).
• Use unauthorized marketing materials or impersonate Liz Kohler Brown or The Studio brand.
• Target Liz Kohler Brown’s official Fan Pages, social media followers, or email subscribers.
• Target existing customers of Liz Kohler Brown, LLC unless otherwise approved in writing.

Affiliates are responsible for all taxes, fees, and charges related to their compensation.

SECTION 5 – TERM AND TERMINATION
This Agreement remains in effect month-to-month until terminated by either party. We may terminate or suspend Your participation at any time, without notice, for any reason, including suspicion of fraud or breach of this Agreement. Upon termination, all pending commissions may be forfeited at our discretion.

SECTION 6 – REPRESENTATIONS AND WARRANTIES
You warrant that there are no ongoing legal investigations or lawsuits against You related to deceptive marketing or consumer protection violations. You must notify us within 24 hours if such an issue arises.

SECTION 7 – ENTIRE AGREEMENT
This Agreement, along with any applicable Terms of Use on thestudiomembership.com, represents the full agreement between the parties.

SECTION 8 – CONFIDENTIALITY
Any confidential information shared with You must be protected and not disclosed without written consent. This obligation survives the termination of this Agreement.

APPENDIX A – ADVERTISING RULES

• You must comply with all relevant advertising and data protection laws, including FTC guidelines.
• Required Disclosure: On any website page or social media post where you promote The Studio, you must clearly state that you are an affiliate of The Studio by Liz Kohler Brown
• Do not make earnings claims or guarantees.

COMPLAINTS
Any complaints or concerns related to Your promotion must be reported to help@lizkohlerbrown.com within 24 hours.

INDEPENDENT CONTRACTOR STATUS
You are not an employee of Liz Kohler Brown LLC. You are an independent contractor responsible for your own business and compliance.

NO GUARANTEE OF EARNINGS
We make no guarantees about your income. You are responsible for generating your own referrals.

SELF-REFERRAL POLICY

Affiliates are strictly prohibited from earning commissions on purchases made through their own affiliate links. This includes, but is not limited to, signing up for a membership, purchasing products, or subscribing to services via their own referral link, email address, or billing credentials.   Any commissions generated through such self-referrals will be deemed invalid and may result in forfeiture of the commission, removal from the program, or both. We reserve the right to determine what constitutes a self-referral at our sole discretion.

REFUNDS AND CHARGEBACKS

If a referred customer’s payment is refunded, disputed, or otherwise reversed for any reason, the affiliate commission associated with that transaction will be voided. If a commission has already been paid for a refunded or charged-back purchase, the amount may be deducted from future payments.  Affiliates are encouraged to refer only genuinely interested customers to reduce the likelihood of refunds or disputes.

ATTRIBUTION AND TRACKING

Attribution is based on a first click model. Whatever affiliate link a customer first uses to visit TheStudioMembership.com is the one that gets tracked. Referrals are captured through a link parameter and stored using first-party tracking rather than a cookie from a third-party platform, so tracking is not affected by browser privacy settings, ad blockers, or Safari’s tracking prevention.

When a customer uses your affiliate link to register for one of the free resources we provide affiliate links for, and does so within 30 days of clicking, your affiliate code is stored in our system. If that customer becomes a paid Studio member at any point after that, whether it is next month or two years from now, you will receive your commission from their paid Studio membership signup.

If a customer uses a different affiliate link to register for one of the free resources we provide affiliate links for after the initial 30-day window has expired, attribution will transfer to that new affiliate link.

TRACKING LIMITATIONS
Affiliate tracking requires that a customer use the same browser and device from the point of clicking your affiliate link through registration for the resource. If a customer clicks your link on one device and registers on a different device, the referral may not be captured. Commissions are paid on verified tracked referrals only. If you believe a referral was not captured correctly, please contact us at help@lizkohlerbrown.com with any supporting evidence, and we will do our best to make it right.

COMMISSION ELIGIBILITY

Only New Customers are eligible for affiliate commissions.  A “New Customer” means an individual or entity who has never previously purchased a membership/subscription with The Studio by Liz Kohler Brown.  Studio Affiliates may not encourage existing members to cancel their memberships in order to sign up again using an affiliate link.  Affiliates who are found to be encouraging members to do so may be removed from the Affiliate Program.

Affiliate commissions are only paid on referrals to the Studio Monthly and Annual Collective Memberships. Any other programs, products, or offers created by Liz Kohler Brown LLC—now or in the future—are not eligible for commissions unless explicitly stated in writing.

REACTIVATING/RETURNING CUSTOMERS

A “reactivating/returning customer” is defined as someone who was previously a paying member of The Studio by Liz Kohler Brown and later canceled or let their membership lapse.  Affiliates will not earn any commission on purchases made by such customers, even if they use an Affiliate link, unless the customer uses an email address different from the one used for the initial membership.  Only completely new customers—those who have never held a paid membership—are commission-eligible.

BONUS INCENTIVES
Affiliates may offer only one (1) small, non-cash bonus to incentivize customers to join The Studio through their affiliate link (for example: a short coaching call, a small downloadable resource, or similar low-value item). Bonuses must not exceed a reasonable retail value (no more than $50 USD) and may not include large-scale services, significant discounts, or cash payments. Offering multiple bonuses, high-value incentives, or bonuses that misrepresent The Studio is strictly prohibited. Liz Kohler Brown LLC and The Studio are not responsible for creating, delivering, or fulfilling any affiliate-offered bonuses.

PROMOTIONAL RESTRICTIONS

Affiliates are expected to promote The Studio by Liz Kohler Brown in a way that is honest, transparent, and respectful of our brand. The following practices are strictly prohibited:

• Misrepresenting the program, our services, or your relationship with us.
• Making false claims, guarantees, or unrealistic income promises.
• Bidding on branded search terms (e.g., “The Studio Membership,” “Liz Kohler Brown”) in paid ads without prior written approval.
• Using spam, bots, or mass unsolicited email marketing.
• Posting affiliate links on coupon aggregator sites, discount forums, or sites primarily offering incentives unless explicitly approved by us.

Affiliates of these promotional standards may result in removal from the program and forfeiture of unpaid commissions.

GEOGRAPHIC ELIGIBILITY

The Studio Affiliate Program is currently open to affiliates worldwide, with no geographic restrictions. However, we reserve the right to restrict or terminate participation in certain regions or jurisdictions as necessary to comply with local laws, regulations, or tax requirements.

LIMITATION OF LIABILITY
We are not liable for indirect, special, or incidental damages. Our maximum liability to You shall not exceed the commissions earned in the prior month.

DISPUTE RESOLUTION
This Agreement shall be governed by the laws of North Carolina, United States. Any disputes shall be subject to binding arbitration per the rules of the American Arbitration Association.

INDEMNITY
You agree to indemnify and hold harmless Liz Kohler Brown LLC and its affiliates from any claims or damages resulting from Your actions under this Agreement.

SEVERABILITY
If any part of this Agreement is found to be unenforceable, the remaining provisions shall remain in effect.

MODIFICATIONS
We may modify this Agreement at any time by posting changes or emailing You. Your continued participation indicates acceptance.
